Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you") and JDT Investments LLC ("JDT," "we," "us"), the operator of the CEF Screener platform available at cef-screener.com ("Service"). By registering for an account, clicking "I Agree," or otherwise accessing or using the Service, you represent that:

• You are at least 18 years of age;
• You have read, understood, and agree to be bound by these Terms;
• You have read and agree to our Privacy Policy; and
• You have the legal authority to enter into this agreement.

If you are accessing the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Description of Service

CEF Screener is a web-based data aggregation and screening platform that collects, compiles, and presents publicly available data regarding closed-end funds (CEFs), including but not limited to NAV, discount/premium to NAV, distribution rates, leverage ratios, fund categories, 52-week price ranges, and ex-dividend dates.

The Service includes features such as: fund screening and filtering tools, personal portfolio tracking, watchlist management, and automated daily data updates on market days. Access requires a registered account and, following any free trial period, a paid subscription.

Account Registration and Security

To access the Service, you must create an account using a valid email address and password. You agree to:

• Provide accurate, complete, and current registration information;
• Maintain the security and confidentiality of your login credentials;
• Notify us immediately at JDTinvestLLC@gmail.com upon any unauthorized use of your account;
• Accept responsibility for all activity that occurs under your account.

Account credentials are personal and non-transferable. You may not create an account on behalf of another person without their consent. JDT reserves the right to refuse registration or cancel accounts at its sole discretion.

Subscription and Billing

Access to the Service may require a paid subscription. New accounts may be eligible for a limited free trial period as specified at the time of registration. After the trial expires, continued access requires a valid, active subscription.

• Fees: Subscription pricing is displayed at the time of purchase and may change with notice.
• Billing: Subscription fees are charged in advance for the applicable subscription period.
• Cancellation: You may cancel your subscription at any time. Access continues through the end of the current paid period.
• Refunds: Except where required by applicable law, subscription fees are non-refundable once charged.
• Suspension: Failure to maintain a valid subscription will result in loss of access to paid features.

Device Restriction and Credential Sharing

Each account is licensed for use on one device at a time. The Service uses browser-based device fingerprinting to identify and associate accounts with a registered device. By creating an account, you consent to this device identification process for account security purposes.

The following are strictly prohibited and will result in immediate account suspension:

• Sharing your login credentials with any other person;
• Accessing your account from a device other than your registered device without prior authorization from JDT;
• Circumventing or attempting to bypass device restriction measures.

Suspended accounts are not eligible for refunds. If you believe your account was suspended in error, contact us at JDTinvestLLC@gmail.com.

Not Financial Advice

Data Sources and Accuracy

Data presented on the Service is aggregated from publicly available sources including CEFConnect.com, SEC EDGAR public filings, and public market data providers. JDT makes commercially reasonable efforts to ensure data accuracy and timeliness, but makes no representations or warranties that any data is accurate, complete, current, or free of errors.

• Data may be subject to delays, errors, or omissions;
• NAV and pricing data may not reflect real-time market conditions;
• Distribution data and ex-dates are provided as reported and may differ from official fund announcements;
• JDT is not responsible for investment decisions made based on data presented on the Service.

Always verify critical financial data with official fund documents, your broker, or official fund websites before relying on it for investment decisions.

Intellectual Property

The CEF Screener platform — including all software code, user interface design, visual design, data compilations, selection criteria, analytical frameworks, scoring methodologies, and proprietary features — is the exclusive intellectual property of JDT Investments LLC and is protected by United States copyright law, trade secret law, and other applicable intellectual property laws.

The CEF Screener name, logo, and related marks are proprietary to JDT Investments LLC. Nothing in these Terms grants you any right, title, or interest in our intellectual property.

Subject to your compliance with these Terms, JDT grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial purposes. You may not:

• Copy, reproduce, republish, upload, post, or transmit any portion of the Service;
• Use automated tools to extract, scrape, or harvest data from the Service;
• Sell, license, sublicense, or otherwise commercially exploit the Service or its data;
• Reverse engineer, decompile, or disassemble any software underlying the Service;
• Create derivative works based on the Service or its content.

Prohibited Uses

In addition to the restrictions in Section 8, you agree not to use the Service to:

• Access the Service using automated scripts, bots, crawlers, spiders, or scraping tools;
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure;
• Attempt to gain unauthorized access to any part of the Service, its servers, or related systems;
• Transmit viruses, malware, or other harmful code;
• Use the Service in a manner that violates any applicable federal, state, or local law or regulation;
• Impersonate any person or entity, or falsely represent your affiliation;
• Use the Service for any commercial purpose without prior written consent from JDT.

Termination

JDT may suspend or terminate your account and access to the Service at any time, with or without notice, for any violation of these Terms, for non-payment, or for any other reason at JDT's sole discretion. Upon termination:

• Your right to access the Service ceases immediately;
• Subscription fees already paid are non-refundable except as required by law;
• Provisions of these Terms that by their nature should survive termination (including Sections 6, 8, 11, 12, and 13) will survive.

You may cancel your account at any time by contacting us at JDTinvestLLC@gmail.com. Cancellation does not entitle you to a refund for any unused subscription period.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. JDT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

JDT MAKES NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY DATA, CONTENT, OR OTHER INFORMATION PROVIDED THROUGH THE SERVICE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JDT INVESTMENTS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, INVESTMENT LOSSES, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL JDT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO JDT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be subject to binding arbitration under the rules of the American Arbitration Association, conducted in English, unless you qualify for small claims court.

You agree to bring any claim arising under these Terms within one (1) year of the date the claim arose, or the claim is permanently barred.

Changes to These Terms

JDT reserves the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and, where appropriate, notify you by email or through the Service. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
